Adani Ports Buys 95% Stake in Gopalpur Port

To solidify its leadership position, APSEZ has inked a strategic deal to acquire a commanding 95% stake in Gopalpur Port, located in Odisha.   • Equity Value: Rs 1,349 crore – This represents the upfront payment for acquiring the majority stake in Gopalpur Port.
  • Deferred Payments: The remaining portion of the Rs 3,350 crore enterprise value will be settled through deferred payments. It’s important to note that the enterprise value encompasses both the upfront equity cost and the deferred payments.

  • Shapoorji Pallonji Group (SP Group): The previous majority stakeholder, divesting a 56% stake in Gopalpur Port Ltd (GPL) as part of its asset monetization strategy.
  • Odisha Stevedores Ltd (OSL): Previously held a 44% stake in GPL. OSL will be selling 39% to APSEZ and will retain a remaining 5% stake, continuing as a joint venture partner in Gopalpur Port.

  • Shapoorji Pallonji Group Divestiture: APSEZ will acquire SP Group’s entire 56% shareholding in GPL.
  • Odisha Stevedores Ltd Stake Acquisition: APSEZ will acquire a 39% stake in GPL from OSL. This strategic move not only grants APSEZ a controlling stake but also retains OSL’s experience and local expertise through their continued involvement as a joint venture partner.
